Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Safravo Inc.(“Safravo,” “we,” “us,” or “our”), governing your access to and use of the Safravoplatform, APIs, and related services (collectively, the “Service”).

By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you may not use the Service.

Safravo is a cloud-based customer communication platform that enables businesses to manage conversations across multiple messaging channels — including WhatsApp Business, Instagram Direct, Facebook Messenger, SMS, email, and VoIP — from a single unified inbox.

The Service includes, without limitation:

• Omnichannel inbox for unified conversation management
• Automation tools, including chatbots and workflow builders
• CRM integration and contact management
• Analytics, reporting, and performance dashboards
• Team collaboration tools including assignments, notes, and mentions
• API access for custom integrations and developers
• WhatsApp Business API access (subject to Meta's policies)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to you where practicable.

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to keep this information updated throughout the term of these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@safravo.com if you suspect any unauthorized access to or use of your account.

You may not share your account credentials, create accounts on behalf of others without authorization, or use automated means to create accounts. Each account must be associated with a valid business email address.

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws, regulations, and the policies of third-party messaging platforms you connect (including Meta's WhatsApp Business Policy).

You must not use the Service to:

• Send unsolicited commercial messages (spam) or bulk messages without proper opt-in consent
• Harass, threaten, or harm any individual or group
• Transmit content that is illegal, fraudulent, defamatory, or infringes third-party rights
• Distribute malware, phishing links, or malicious code
• Circumvent rate limits, security controls, or access restrictions
• Scrape, reverse-engineer, or extract data from the Service without authorization
• Resell or sublicense access to the Service without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation
• Violate any applicable anti-spam, data protection, or consumer protection laws

We reserve the right to immediately suspend or terminate accounts that violate this Acceptable Use Policy without prior notice. We may also report violations to relevant authorities or third-party platforms.

5.1 Plans & Pricing

The Service is offered on a subscription basis. Current pricing, plan features, and messaging limits are available at safravo.com/pricing. All prices are in US Dollars unless otherwise stated.

5.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Payment

You authorize us to charge your designated payment method for all fees incurred. If payment fails, we may suspend access to the Service after providing reasonable notice and an opportunity to update your payment information.

5.4 Refunds

All fees are non-refundable except as required by applicable law or as explicitly stated in writing by Safravo. If you downgrade or cancel mid-cycle, you will retain access through the end of your paid billing period.

5.5 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. If we are required to collect taxes on your behalf, such amounts will be added to your invoice.

5.6 Price Changes

We may change our pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

6.1 Your Data

You retain all ownership rights to data you submit to the Service, including conversation content, contact information, and files (“Customer Data”). You grant Safravo a limited, non-exclusive license to process Customer Data solely to provide and improve the Service.

6.2 Data Processing

Where applicable under data protection laws (including GDPR, CCPA, or similar), Safravoacts as a data processor on your behalf. Our Data Processing Agreement (“DPA”), available upon request, governs the processing of personal data.

6.3 Privacy Policy

Our collection and use of personal data relating to your use of the Service is described in our Privacy Policy.

6.4 Data Security

We implement industry-standard technical and organizational measures to protect Customer Data, including encryption in transit (TLS 1.2+) and at rest (AES-256), access controls, and regular security audits. A full description of our security practices is available at safravo.com/security.

6.5 Data Retention & Deletion

Upon termination of your account, we will retain Customer Data for 30 days during which you may export your data. After this period, Customer Data will be deleted from our systems, except where retention is required by law.

Safravo and its licensors own all rights, title, and interest in the Service, including all software, algorithms, interfaces, documentation, trade secrets, and trademarks. Nothing in these Terms transfers any ownership of our intellectual property to you.

Subject to your compliance with these Terms and timely payment of all fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term solely for your internal business purposes.

You retain ownership of Customer Data and any content you create using the Service. By submitting feedback, suggestions, or feature requests, you grant Safravo a perpetual, irrevocable, royalty-free license to use such feedback without restriction.

Each party may have access to non-public information of the other party (“Confidential Information”). Each party agrees to: (a) keep Confidential Information strictly confidential; (b) use it only to exercise rights or fulfill obligations under these Terms; and (c) protect it with at least the same care used for its own confidential information, but no less than reasonable care.

Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party is given reasonable prior notice.

Each party represents that it has the legal authority to enter into these Terms, and that doing so does not violate any other agreement to which it is a party.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Safravo Inc. EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Safravo Inc., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

These limitations apply regardless of the legal theory on which the claim is based, whether contract, tort, negligence, strict liability, or otherwise.

You agree to indemnify, defend, and hold harmless Safravo Inc.and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service in violation of these Terms
• Your Customer Data or content transmitted through the Service
• Your violation of any applicable law or third-party rights
• Any dispute between you and your customers or end users

12.1 By You

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your access to the Service immediately if: (a) you materially breach these Terms and fail to cure such breach within 15 days of written notice; (b) you violate our Acceptable Use Policy; (c) you become insolvent or subject to bankruptcy proceedings; or (d) we are required to do so by law.

12.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Sections 6 (Data), 7 (IP), 8 (Confidentiality), 9 (Warranties), 10 (Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email to your registered address or through a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
